The <br /> Company currently exists as a limited liability company, but you are considering converting the <br /> Company into a non-profit entity. As a non-profit, the Company would continue to operate the <br /> theatre. Whether you would receive a salary from the Company after it becomes a non-profit entity <br /> has not been determined. <br /> You would like to know, after the Company exists as a non-profit entity, if the Company could <br /> receive spons,�rships or donations from persons or businesses that contract with the City, and <br /> whether your receipt of compensation from the Company would affect that ability to receive <br /> spo lsorships or donations. <br /> LAW <br /> La. R.S. 42:1111C(2)(d) provides that no public servant and no legal entity in which the public <br /> servant exercises control or owns an interest in excess of twenty-five percent, shall receive any <br /> thing of economic value for or in consideration of services rendered, or to be rendered, to or for <br /> an,,, person during his public service unless such services are: (d) Neither performed for nor <br /> compensated by any person or from any officer, director, agent, or employee of such person, if <br /> suci public servant knows or reasonably should know that such person has or is seeking to obtain <br /> contractual or other business or financial relationships with the public servant's agency; conducts <br /> Operations or activities which are regulated by the public employee's agency; or has substantial <br /> Page 1 of 3 (BD 2025-224) <br /> AN EQUAL OPPORTUNITY EMPLOYER <br />
