Ethics Board Docket No. 2022-091 <br /> Page 3 of 10 <br /> hereinafter referred to as the "Employment Agreement"). <br /> 3. <br /> The Employment Agreement states that HAN R shall pay Ms. Rush a salary of$70,000 per <br /> year, subject to annual 5% cost of living increases. The Employment Agreement also provides <br /> that, other than the annual cost of living adjustment, Ms. Rush shall not be entitled to additional <br /> compensation by reason of any service which she may perform. The Employment Agreement also <br /> provides that Ms. Rush was eligible to participate in all benefit programs available to HANR <br /> employees, subject to the provisions set forth in such plans. <br /> 4. <br /> The Board of Directors of HANR (the "Authority Board") approved a policy to allow <br /> HANR employees to receive payment in return for the surrender of unused accrued vacation time <br /> (the "Accrued Vacation Cash-Out Policy"). The Accrued Vacation Cash-Out Policy applied to all <br /> full-time employees with one year of employment. Pursuant to the Accrued Vacation Cash-Out <br /> Policy, all HANR employees may receive a cash payment of a certain number of hours of accrued <br /> vacation time,but in no event could the hours exceed more than 80 hours of accrued vacation time <br /> per year. <br /> 5. <br /> On November 27, 2019, HANR paid Ms. Rush $3,975 for 100 hours of unused accrued <br /> vacation time,with a rate of$39.75 per hour. On June 24, 2020, HANR paid Ms. Rush $3,975 for <br /> 100 hours of unused accrued vacation time.with a rate of$39.75 per hour. These payments totaled <br /> $7,950 and were not explicitly approved by the Authority Board. <br /> 6. <br /> Under the stated provisions of the Accrued Vacation Cash-Out Policy, Ms. Rush was only <br />
