Advisory opinion request from the Louisiana Office of Financial Institutions (OFI) regarding whether the Code of Governmental Ethics would prohibit OFI from contracting with Louisiana Interactive, LLC d/b/a NIC Louisiana (LIA) to redesign and maintain its website.
Facts:
LIA is domiciled in Baton Rouge and is a subsidiary of NIC, Inc., which was recently acquired by Tyler Technologies, Inc. The company builds, operates, maintains, and markets digital services to government agencies in the State of Louisiana. In 2015, LIA created OFI's website. Since LIA is familiar with the website, LIA can offer its services at a significantly lower cost to OFI. OFI licenses NIC Services, LLC (NIC Services). NIC Services is used as a money transmitter in 46 states including Louisiana, and falls under the jurisdiction of OFI. LIA and NIC are both wholly owned subsidiaries of Tyler Technologies, Inc. Commissioner Dameron of OFI, provided that while the companies are affiliated through common ownership, LIA and NIC operate independently and share no employees or officers.
